The website and services are operated by Novavita Sdn Bhd, Registration No. 201701020909 (1235075-X) (“Novavita”, “we”, “us” or “our”).
Please read these Terms before using our services. Where you register for an account, enrol in training, purchase a resource or subscribe to a service, you will be asked to accept the terms applicable to that transaction.
1. Our Services
Novavita provides consultancy, advisory, research, professional training and knowledge resources.
Our offerings may include:
- Consultancy and project-based advisory services.
- Self-paced online learning.
- Scheduled online and onsite training.
- Customised corporate training.
- Books, articles, publications and other learning resources.
- Online reading access, digital copies and printed publications.
- Memberships and subscription-based access.
Availability, eligibility, pricing, delivery arrangements and access periods depend on the particular service.
2. Additional Terms and Written Agreements
Specific services may be subject to additional terms stated in a proposal, quotation, registration form, order confirmation, course description or subscription plan.
An agreement or proposal expressly accepted by both parties takes precedence over these general Terms for the relevant engagement. Transaction-specific terms expressly accepted by you also take precedence where they address the same subject.
Nothing in these Terms limits rights or protections that cannot lawfully be excluded.
3. Eligibility and Authority
You must have the legal capacity to enter into the relevant transaction.
If you act on behalf of an organisation, you confirm that you are authorised to register participants, submit information, place orders or accept applicable terms on its behalf.
Participation by individuals under 18 is subject to any programme eligibility requirements and appropriate parent or guardian authorisation.
4. Accounts and Login Credentials
Some services require an account.
You agree to:
- Provide accurate and current registration information.
- Keep your password and authentication details confidential.
- Use your account only for its authorised purpose.
- Notify us promptly if you suspect unauthorised access.
- Avoid sharing access with others unless your plan expressly permits it.
Individual course enrolments and memberships are personal to the registered user unless otherwise agreed.
You are responsible for activity you authorise through your account. You are not automatically responsible for unauthorised activity caused by a failure attributable to Novavita.
We may require reasonable identity verification to protect an account or investigate suspected misuse.
5. Acceptable Use
You must not:
- Use the website or services for an unlawful or fraudulent purpose.
- Attempt to access another person’s account or restricted content without permission.
- Disrupt, damage or compromise the website, learning platform or related systems.
- Upload malicious software or attempt to bypass security controls.
- Harass others or submit unlawful, defamatory or infringing content.
- Impersonate another person or misrepresent your professional identity.
- Share, resell or distribute restricted course materials or resources without permission.
- Use automated tools to extract restricted content or personal data without authorisation.
- Remove ownership notices or circumvent access and copying restrictions.
Any security testing requires prior written authorisation from Novavita.
6. Consultancy and Advisory Services
Consultancy engagements are governed by the scope, deliverables, responsibilities, fees and timetable agreed in writing.
You agree to provide information and documents reasonably required for the engagement and to identify relevant constraints or changes.
Our advice is based on the agreed scope, the information available to us and the circumstances at the time of delivery. Advice may require review if the facts, requirements or applicable rules change.
Unless expressly included in the engagement, we are not responsible for implementing recommendations or monitoring subsequent changes.
Regulatory approvals, certifications, licences and decisions remain subject to the relevant authorities or certification bodies. Novavita does not guarantee a particular approval or commercial outcome unless an enforceable written agreement expressly provides otherwise.
Website information and general training materials do not replace advice tailored to your circumstances.
7. Self-Paced Learning
Self-paced courses are made available for the access period stated at enrolment.
Unless the course description provides otherwise:
- Access is granted to the registered participant.
- You are responsible for completing activities within the stated access period.
- Assessments and completion requirements must be satisfied before a certificate is issued.
- Personal coaching, live instruction and downloadable materials are included only where specified.
Course content may be updated to improve accuracy, relevance or delivery. Material changes affecting an existing enrolment will be handled fairly and communicated where appropriate.
8. Scheduled Online and Onsite Training
Registration is subject to available places, eligibility requirements and any stated payment conditions.
The registration information or confirmation will identify relevant arrangements, such as the date, time zone, venue, delivery method and joining instructions.
For online training, participants are responsible for having a suitable device, internet connection and any software requirements disclosed before registration.
For onsite training, participants must comply with reasonable venue, safety and conduct requirements.
Travel, accommodation and other expenses are included only where expressly stated.
Please notify us before registration of any accessibility or participation requirements so that we can discuss available arrangements.
9. Corporate Training
Corporate training is arranged according to an accepted quotation, proposal or written agreement.
The agreement should specify the programme scope, participant arrangements, delivery method, dates, fees and any cancellation or rescheduling conditions.
The commissioning organisation is responsible for coordinating its participants and providing any agreed facilities, equipment or information.
Additional work or changes to the agreed scope may require a revised quotation and written acceptance before proceeding.
10. Attendance, Assessments and Certificates
Certificates may be subject to attendance, participation, assessment or other stated completion requirements.
You must complete assessments honestly and must not impersonate another learner, submit another person’s work as your own or falsify completion records.
Certificates represent the learning or participation described on them. They do not constitute a professional licence, regulatory approval or third-party accreditation unless expressly stated.
Please ensure that your registration name is correct. Requests to amend or reissue certificates may require verification, and any applicable fee will be disclosed before processing.
11. Resources and Publications
Access conditions vary by resource and will be identified in the relevant listing or confirmation.
Online Reading Access
Resources designated for online reading may be viewed through the authorised website reader during the applicable access period.
Downloading, printing or exporting is permitted only where the resource expressly allows it or where applicable law permits the use.
Digital Copies
A request to purchase a digital copy is an enquiry until Novavita confirms availability, price, permitted use and delivery arrangements.
Digital copies are normally licensed for the purchaser’s own use unless an organisational or multi-user licence is expressly provided.
Physical Copies
Printed publications are subject to stock availability and confirmed order arrangements.
Delivery charges, destinations and estimated delivery periods will be communicated before the order is accepted.
Subscription Resources
Subscription access is limited to the content and features included in the selected plan and applies only during the relevant subscription period.
A subscription does not transfer ownership of the underlying publications or intellectual property.
12. Intellectual Property and Permitted Use
Website content, course materials, publications, recordings, designs and branding are owned by Novavita or used with permission from the relevant rights holders.
Subject to the applicable service terms, you receive a limited, non-exclusive right to access and use purchased or authorised content for the stated learning, reference or internal business purpose.
You must not reproduce, publish, distribute, sell, sublicense, adapt or publicly present protected material without permission, except where your licence or applicable law permits it.
Downloading a resource does not transfer copyright.
Ownership and permitted use of consultancy deliverables will be determined by the relevant engagement agreement.
13. Prices, Orders and Payments
The applicable price, currency, taxes and additional charges will be disclosed before you commit to a purchase.
Submitting an enquiry, registration or purchase request does not by itself confirm acceptance. Acceptance occurs when we issue the relevant confirmation or as otherwise stated in the transaction process.
Payment must be made through an accepted method and within the communicated payment period.
Where a purchase order, invoice arrangement or instalment plan is agreed, its payment conditions apply.
If a material pricing or availability error is discovered, we will contact you before proceeding. If we cannot fulfil an accepted order, we will explain the available alternatives or arrange an appropriate refund.
14. Memberships and Subscriptions
Each plan should identify:
- The services or resources included.
- The subscription period and access limits.
- The price and billing frequency.
- Whether renewal is manual or automatic.
- The cancellation process and any applicable refund conditions.
Automatic renewal applies only where it is clearly disclosed and expressly accepted.
You may cancel future renewal through the method stated in your plan or by contacting us. Cancellation of renewal does not automatically create entitlement to a refund for the current period.
Any applicable refund rights remain subject to the agreed plan conditions and mandatory law.
We will communicate material changes to subscription pricing or benefits before they affect a future renewal. Where required, we will obtain your agreement or provide an opportunity to cancel before the change takes effect.
15. Cancellation, Rescheduling and Refunds
Applicable cancellation and refund conditions will be provided before registration, purchase or acceptance of an engagement.
Different conditions may apply to consultancy, scheduled training, self-paced courses, subscriptions and publications.
Requests by Customers
Please submit cancellation, substitution or rescheduling requests promptly to admin@novavita.com.my, including your registration or order reference.
Any deduction or cancellation charge must be supported by the conditions disclosed before the transaction or otherwise agreed with you.
Changes by Novavita
If we cancel a paid scheduled training session, we will offer an appropriate alternative or a refund of the affected training fee.
If we materially change the date, venue, delivery method or scope, we will inform you and explain your options. Where the revised arrangements do not reasonably meet the original booking, an appropriate cancellation or refund option will be provided.
Digital Content and Publications
Access problems, incorrect digital deliveries, damaged publications and other fulfilment issues should be reported promptly.
Refunds and remedies will be assessed according to the nature of the issue, the agreed transaction conditions and applicable law. Accessing digital content does not remove rights that cannot lawfully be excluded.
Consultancy Engagements
Payment for completed work, committed expenses and any unused fees will be handled according to the engagement agreement and applicable law.
16. Delivery of Physical Publications
Please provide an accurate delivery address and contact information.
Delivery estimates may be affected by stock availability, courier operations and destination requirements. We will communicate material delays when known.
If an item arrives damaged, is incorrect or appears lost, please contact us promptly with the order reference and available supporting information so that we can investigate and arrange an appropriate remedy.
Nothing in these Terms removes any responsibility Novavita has under applicable law for fulfilling your order.
17. User Submissions and Confidential Information
You remain responsible for ensuring that you have permission to submit documents, images, assignments, comments or other materials.
You retain ownership of your submissions. You grant Novavita permission to use them only as reasonably necessary to deliver, administer and support the relevant service, subject to applicable privacy and confidentiality obligations.
Submitting material does not grant Novavita an unrestricted right to publish it or use it for unrelated promotion.
Do not post confidential business information or personal data in public comments or discussion areas.
Confidentiality arrangements for consultancy and corporate training may be addressed in a separate agreement.
18. Recording, Photography and Publicity
Recording, photographing or distributing training sessions and materials requires permission unless expressly allowed.
Where Novavita intends to record a session or use identifiable participant photographs or contributions, we will provide appropriate notice and obtain consent where required.
Personal data and media will be handled as described in our Privacy Policy and any activity-specific notice.
Participation does not, by itself, grant unrestricted consent to promotional use of your identity.
19. Website Availability and Technical Support
We take reasonable steps to maintain the website and learning platform, but access may occasionally be interrupted by maintenance, technical faults or events beyond our reasonable control.
We do not promise uninterrupted or error-free availability.
If a disruption materially affects a paid service, please contact us. We will assess the circumstances and provide an appropriate response, which may include restoring access, extending an access period, offering an alternative or providing another applicable remedy.
Support arrangements may vary by service and will be communicated where relevant.
20. Third-Party Services and Links
Our website or programmes may use external payment services, video platforms, communication tools or linked resources.
Those providers may have their own terms and privacy notices.
A link does not necessarily constitute an endorsement of the external website or all of its content.
Using a third-party provider does not remove any responsibility Novavita retains under your agreement with us or applicable law.
21. Accuracy and Outcomes
We take reasonable care when preparing website information, course content and publications.
However, general information may become outdated or may not address your particular circumstances. Please confirm relevant requirements before relying on it for a specific business or regulatory decision.
Training participation and access to resources do not guarantee employment, certification, regulatory approval, business growth or any other particular outcome.
Any specific commitment in an accepted written agreement remains subject to that agreement.
22. Responsibility and Liability
Each party remains responsible for losses caused by its breach of an agreement, negligence or other conduct to the extent required by applicable law.
To the extent lawfully permitted and fair in the circumstances, Novavita is not responsible for losses that were not reasonably foreseeable when the relevant agreement was made, or losses arising from your misuse of the services.
Nothing in these Terms excludes or restricts liability for fraud, fraudulent misrepresentation, or any liability, consumer right or remedy that cannot lawfully be excluded or restricted.
Any additional allocation or limitation of liability for a particular consultancy or corporate engagement must be set out in the applicable agreement and remains subject to law.
23. Suspension and Termination
We may restrict access where reasonably necessary to address a serious breach of these Terms, non-payment under agreed conditions, unlawful activity or a credible security risk.
Where practicable, we will explain the reason and allow a reasonable opportunity to resolve the issue. Immediate action may be taken where necessary to prevent harm or comply with law.
Restrictions will be proportionate to the circumstances.
If access to a paid service is terminated, any remaining service obligations, outstanding fees and refund entitlement will be assessed under the applicable agreement and law. Termination does not automatically result in forfeiture of all prepaid fees.
24. Events Beyond Reasonable Control
Neither party is responsible for delay caused by an event beyond its reasonable control to the extent that applicable law allows.
The affected party should notify the other, take reasonable steps to reduce the impact and discuss alternative arrangements.
If the disruption continues and prevents delivery of a paid service, we will address cancellation, unused fees and available remedies fairly, taking account of work already performed and applicable law.
25. Privacy
Our handling of personal data is described in our Privacy Policy.
Please read that Policy together with any registration, event or service-specific privacy notice.
Acceptance of these Terms does not replace consent that must be obtained separately for a particular use of personal data.
26. Changes to These Terms
We may update these Terms to reflect changes to our services, operations or applicable legal requirements.
The revised version will be published with an updated date.
Changes will not retrospectively alter an accepted purchase or engagement unless agreed or required by law. Material changes affecting an ongoing subscription or service will be communicated appropriately, with consent or cancellation options provided where required.
27. Governing Law and Disputes
These Terms are governed by the laws of Malaysia, subject to any mandatory protections that apply to you.
If a dispute arises, please contact us first so that we can attempt to resolve it through discussion.
If the matter remains unresolved, either party may use the relevant courts, tribunals or other dispute-resolution channels available under applicable law.
Nothing in these Terms prevents you from exercising a right to complain to a regulator or bring a claim before a competent consumer tribunal or other authority.
28. General Provisions
If any provision is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A delay in exercising a right does not automatically waive that right.
These Terms, together with the applicable accepted proposals, transaction conditions and agreements, form the terms governing the relevant service.
